Department Overview Contracts Negotiation Specialist Group (CNSG) is responsible for the negotiation of master trading documentation for the firm's global markets business. This includes ISDA and local law derivatives master documentation, securities financing documentation and prime services documentation.
Main function of the job
Produce/draft contract documentation for identified counterparties across a variety of financial products and counterparty types using standard Barclays contract templates
Liaise with Front Office/ Credit/ Compliance / Trading / Back Office on derivatives documentation and associated guidelines and procedures.
Negotiation of various contracts and agreement types with counterparties.
Proactively seek resolutions to roadblocks in any negotiation by enlisting the assistance of colleagues and stakeholders
Conduct due diligence checks on client's capacity and authority to enter into derivatives documentation
Review legal opinions from external counsel in the context of close-out netting, capacity and enforceability issues
Update Agreement Management on a regular basis, to ensure that it correctly reflects the status of each in-flight negotiation
Manage risk and control effectively by applying applicable risk frameworks and embedding a positive risk culture
Respond to day-to-day queries from the Business or stakeholders or infrastructure teams
Able to work independently and effectively within time, resource and budget constraints and is capable of making routine decisions independently
Participate in global projects by being involved in testing or providing feedback
Adds value to the team by contributing to team know-how folders, e.g. updating outdated know-how/templates, identifying commonly encountered client requests
Perform 4-eye checks for fellow team members prior to preparation of execution copies for the relevant agreements
Keep abreast of and be familiar with regulatory changes and requirements, in order to ensure documents signed are in compliance with applicable laws and regulations
Identify gaps in existing processes and approvals, take initiative to liaise with counterparts in other regions to streamline the existing processes and putting in place new fallback positions for issues commonly encountered by the team
Review and update agreement templates, including providing guidance in the context of jurisdictional nuances or counterparty types
Review legal opinions issued by external counsel and liaise with external counsel to ensure opinions commissioned address Barclays' requirements
Risk & Control Objective All Barclays colleagues have to ensure that all activities and duties are carried out in full compliance with regulatory requirements, Enterprise Wide Risk Management Framework and internal Barclays Policies and Policy Standards
At least 3-4 years of relevant experience in ISDA negotiations
Strong understanding of Barclays' policies (Treasury, Trading, Credit) and ability to apply policy requirements consistently to daily decision when negotiating documentation
Good influencing and negotiation skills, ability to handle complex negotiations with various counterparty types across various jurisdiction in Asia, such as Singapore, Hong Kong, Japan, China, Philippines, Malaysia and Indonesia
