UK Company Secretariat currently provides a comprehensive company secretarial service to Fidelity's UK regulated companies, open-ended fund range, UK listed Investment Trusts, Fidelity's Irish management investment company in conjunction with its managed UCITS/ ICAV funds and the Multinational Life Board and its Committees.
The service proposition of the Team can be broadly broken down into the following broad categories:
Corporate Governance Support - end-to-end support of the board corporate governance process (agendas/papers/minutes) and advising on best practice;
Company Secretarial Duties - maintenance of companies in good standing including their statutory books and records. Implementing corporate actions and restructurings (e.g. changes in share capital); and
Other Duties - including participation in business/regulatory/change projects (e.g. Solvency II, Senior Managers Regime, CP86), maintenance of bank accounts and responding to KYC and other information requests (regulatory/business).
Purpose of your role
The remit of the UK Company Secretariat has significant increased over recent years as a result of increased regulatory developments (SMIR, SMCR, CP86, MiFID II etc), business growth and enhancements in the governance structure within Fidelity's UK business to reflect the UK Regulators expectations. In addition, the recent expansion of the Irish business through the creation of Global Business Operations (a shared services provider), the launch of the ICAV model to support Fidelity's ETF business and the establishment of Fidelity's multinational life business has resulted in the need to have a dedicated Irish domiciled company secretarial team.
The proposal is to establish an Irish Company Secretariat function in our Dublin office to provide company secretarial and governance services to Fidelity's Irish investment management Board, the boards of the Irish managed UCITS and ICAV funds and for the Board of FIL Life Insurance (Ireland) Limited and its committees (Risk and Audit).
The initial responsibilities Senior Company Secretary will be to establish the Irish company secretariat function within Fidelity's Dublin office and support the existing day to day company secretarial services delivered to Fidelity's Irish business
Other responsibilities and duties are as follows:
timely co-ordination of the preparation of board papers, minutes and actions arising from the meetings;
establishment of best practice guidance notes within a company secretarial procedures manual;
Developing a friendly, professional and proactive approach to the Irish non-executive directors;
Support company secretarial initiatives such as the rollout of DocuSign (electronic signatures) to the Irish business;
Support the document execution process and maintain of statutory records and filings for the UK and Ireland;
Supporting the other governance stakeholders with product and fund launches;
