The Contracts & Licensing Associate (CLA) is a member of the Contracts and Licensing Team at Mount Sinai Innovation Partners (“MSIP”.) The CLA is responsible for the drafting, negotiating and managing a diverse portfolio of agreements and contracts in the support of the research activities of the Mount Sinai Faculty and the commercialization activities of MSIP. The CLA works in partnership with MSIP Business Development, Finance and Operations, and Patents Groups, all ranks of the Mount Sinia Faculty, Mount Sinai departments, and outside parties at commercial entities, academic institutions, and government agencies to help optimize the research process and value of our assets. The CLA will take initiative and ownership, juggle many documents and competing priorities, innovate contracting solutions, and maintains productive relationships inside and outside the institution.
What You'll Do:
Drafts, reviews, and negotiates a variety of contracts including the following agreements: confidentiality, material transfer, inter-institutional, collaborative research, sponsored research and other contracts related to intellectual property.
Supports MSIP's Contracts and Licensing Team, Finance and Operations Team, Patent Team, and Business Development Team in all aspects of the contract life cycle.
Participates in system administration and implementation of new technical solutions to better improve workflow and efficiency of the Contracts and Licensing Team.
Interacts with Mount Sinai faculty/staff and is a subject matter expert for contracts-related issues.
Maintains positive, productive relationships with commercial and academic collaborators.
Reviews and maintains the data integrity of disclosures, contracts, and relationships in the MSIP tracking and management systems.
Performs other related duties as assigned.
What You"ll Bring:
D.; JD preferred (if JD, must have New York Bar Admission)
3 years related experience, preferably related to technology commercialization or Intellectual Property
Advanced knowledge of standard office software packages (e.g., Word, Excel, PowerPoint, Excel
Track record of successful negotiations and executed deals
Excellent drafting, legal and business skills, sound judgment & critical thinking
Expertise in the current state-of-the-art contract law, especially related to Intellectual property transactions in the life-science and/or healthcare
Ability to function as a contributor to inter-disciplinary groups
