Morgan Stanley's Deleveraging and Lending Group (DLG) focuses on traditional commercial real estate lending as well as warehouse / loan on loan lending for performing and non-performing loan pools as well as other secured asset pools. The business which sits within Morgan Stanley's Fixed Income Division is recognized for providing traditional and innovative financing techniques, helping a wide range of clients throughout Europe to execute their business strategy.
DLG is looking to recruit an Execution Lawyer with CMBS / public markets debt experience to work on the securitisation / syndication of commercial real estate and warehouse lending transactions as well as assisting in the execution of structured finance lending transactions. This role will have a particular focus on public market exits for transactions and will include working with originators and securitisation/syndication teams to help structure public market transactions. The ideal candidate will also have experience in a broader range of structured finance transactions.This is a varied and exciting role with plenty of scope to develop within a busy and growing team.
Main responsibilities centre on working with the securitisation / syndication teams to facilitate public market exits for transactions, including:
Preparing and reviewing term sheets.
Advising on structure of transactions to optimise public market exits taking into account legal, regulatory, tax and other constraints.
Liaising with outside counsel to prepare transaction documentation.
Liaising with rating agencies in respect of potential transactions.
Other responsibilities will involve assisting in the execution of structured / warehouse lending transactions including structuring, preparation of terms sheets and drafting and negotiation of facility documents across a variety of asset classes.
Skills required (essential)
At least 3+ PQE City or equivalent banking law experience with a major law firm or investment bank.
Familiarity with CMBS/repack documentation and/or structured lending / loan on loan transactions.
Commercially driven with ability to adapt to varied and demanding workload.
Excellent communication skills, verbal and presentations.
Good organisation skills.
Confident, self-starter, assertive and energetic
