Department Profile The lawyers and other professionals of the Legal & Compliance Division (LCD) provide a wide range of services to our business units. They might help to structure a complex and sensitive cross-border transaction; advise on a new product introduction; develop a training program or defuse an investor dispute. They preserve the Firm's invaluable reputation for integrity and protect the Firm with policies and procedures that meet regulatory requirements around the world. They also strive to maintain cooperative relationships with governmental policy makers and the regulatory and self-regulatory agencies that govern the Firm's businesses.
Background on the Team Coverage will be servicing Corporate Equity Derivatives Desk within the Equity Division and Global Capital Markets in Hong Kong assisting with structuring, origination and execution of a range of corporate equity derivatives deals (margin loans, options, collars, total return swaps, stake building etc.) Underliers will be listed on a range of markets across Asia (and in certain cases NY or London).
The role will report into the Head of Institutional Equity Division Legal.
Primary Responsibilities -Advisory and execution -Participating as member of, and providing sign-off on behalf of legal on, the Asia governance committee as well as liaising with and providing advice to equivalent regional committees in London and New York dependent on booking entity being used -Acting as quorum member for any New Product Approvals submitted by the Equity or GCM desks in this area -Opportunity to lead and manage a team with further opportunities to take on additional /wider responsibilities for derivatives across the broader Equity business and/or financing, derivatives, and capital markets products and services offered from Morgan Stanley's Institutional and private wealth platform.
Skills required (essential) -A senior Associate or Counsel at a top tier international law firm, or a senior in-house counsel at a leading financial institution, with strong technical skills in derivatives and equity capital markets -First rate analytical skills and the ability to identify and resolve issues in a fast-paced environment -Flexible, proactive, organized, detail-orientated -Excellent oral and written communication skills (including legal drafting) in English -UK, HK, US qualified ( other common law jurisdictions considered)
