Assist with the provision of corporate secretarial services, corporate governance and regulatory support to the legal entities in Australia.
Reporting to the Company Secretary, the Assistant Company Secretary will provide corporate secretarial services and governance support and cover the State Street legal entities in Australia and New Zealand of State Street Australia Limited and subsidiaries, State Street New Zealand Limited and State Street Bank & Trust Company.
The role will require a person that can be proactive and work autonomously but also requires a strong collaborative nature and the ability to influence change.
To support the Legal Entities of Australia, the role will be responsible for:
The planning of all Board and relevant Committee meetings.
The preparation of the agenda, action items, collation and distribution of Board and relevant Committee papers and attendance where required.
Preparation of written resolutions, draft minutes and company secretarial board agenda items.
Coordination of appointment and resignation of Directors/ Company Officers in compliance with relevant Company Law, including the notification of statutory notifications.
Proactive management of all Charters and company secretarial controls.
Proactive management and preparation of all statutory filings and business registrations.
Ensuring the Company's statutory registers are maintained in accordance with the relevant Company Law and maintaining current statutory information in global software system.
Maintaining the Authorised Signatory lists for each entity.
Maintaining the progress of new product approvals within the legal entities.
The continuing implementation of the Legal Entity Governance Standards across the legal entities and ensuring best standards are developed and implemented across the entities.
Assistance with training and articulation of governance requirements for the legal entities.
Other company secretarial tasks as required.
Education & Experience
Degree holder with experience in financial services preferred but not essential.
Professional association or desire to gain qualifications with Governance Institute.
Knowledge of corporate secretarial laws and practice, knowledge of corporate governance and knowledge of the regulatory framework governing financial services businesses. This may have been obtained outside of the corporate secretarial environment.
Excellent written communication skills essential.
Strong interpersonal, presentation and communications skills.
Self-motivated with meticulous attention to detail and capable of working independently as well as be an effective team player and collaborator.
Demonstrates effective time management skills with an ability to work within deadlines and has proven ability to multi-task in a fast paced environment.
Ability to work effectively with all levels of management.
Ability to work collaboratively across multiple business and other internal groups.
