Reports to the Chief Counsel, UCSD Health. Serves as lead counsel on healthcare transactions at UCSD Health System as directed. Provides strategic legal advice and substantial expertise in connection with structuring and negotiating healthcare transactions, healthcare reform, network expansion, and related matters to UCSD Health leadership including the Vice Chancellor for Health Sciences and the Chief Executive Officer of UCSD Health System.
Collaborates on campus initiatives with other campus attorneys and on system-wide initiatives with other lawyers in the Office of the President and at other UC Health campuses. Interprets complex facts and law in areas of high ambiguity. Independently handles and manages legal strategy, negotiations, due diligence and drafting of definitive agreements in connection with healthcare transactions.
Monitors outside counsel, as needed and directed by the Chief Counsel, UCSD Health. Assures compliance in transactional activity and affiliations with all applicable laws and regulations including, but not limited to, federal and state fraud and abuse laws, antitrust laws, laws governing tax-exempt organizations and bonds, and others.
Experienced attorney with Healthcare transactions experience with in-depth knowledge of and experience counseling clients in connection with simple and complex Healthcare transactions.
Minimum of eight (8) years of experience; or an equivalent combination of education and experience preferred.
Relevant practice experience in a law firm, or in-house counsel for an academic institution, corporation or other entity. Relevant practice experience in a health law firm or general law firm health law department and/or an in-house counsel for a community health system.
In-depth understanding of highly complex legal issues and ability to foresee implications in specialty area, even when ambiguous or hidden including demonstrated strong grasp of laws and regulations governing healthcare providers, in particular hospitals and physician groups, and payers, and relationships between and among providers, payers, and industry partners.
Experience anticipating, reviewing, commenting on and advocating client positions with respect to legislative, regulatory, and related developments affecting healthcare transactions and health system strategy.
Demonstrated ability to distill large quantities of information and to generate creative approaches to legal challenges facing a health system associated with a major research university.
Ability to determine and clearly articulate the priorities of a complex and dynamic organization, and develop legal strategies that advance these priorities within limits of risk and exposure acceptable to the client.
Superior academic qualifications, with exceptional analytical, writing, and client consultation skills. Advanced written communication skills and ability to create and deliver effective materials and/or presentations appropriate to a particular audience.
Advanced research skills; ability to readily identify critical legislative changes in area of healthcare. In-depth abilities in collaboration, facilitation, and strategic and creative thinking.
Advanced skills in project management, and facilitating policy review and changes.
Ability to work well under conditions of heavy workload, frequent hours outside normal business hours, rapidly changing priorities, and deadlines requiring immediate action.
Trusted partner with senior management and a diverse spectrum of clients. Advisor to senior health system management and colleagues, sometimes with apparently competing or inconsistent objectives, priorities, and perspectives.
Advanced interpersonal communication skills, including proven ability to actively listen, negotiate, persuade and educate. Ability to work independently and in group settings.
