CDC Group plc (CDC) is seeking to hire a corporate lawyer to advise on equity investments in businesses, joint ventures and infrastructure projects in Africa and South Asia.
The role is within CDC's Legal Team. The successful candidate will report to the Managing Counsel responsible for Direct Equity.
The role is an exciting opportunity for a mid-level lawyer to develop their skills by working on complex and bespoke transactions in diverse markets. They will be able to learn from an experienced team of senior lawyers drawn from private practice and from in-house roles at other financial institutions.
The Legal Team supports CDC in all legal aspects of its investment business and also provides corporate legal advice to the CDC board. Within the Legal Team we have three groups, each focused on a particular CDC business line: Direct Equity, Funds and Debt. Lawyers from these groups frequently work together, particularly on deals which cross disciplines (such as an equity investment in a project-financed infrastructure project). The Legal Team also works closely with the relevant investment teams and with other functions such as the Environmental & Social (E&S) Team and the Business Integrity (BI) Team.
The Legal Counsel will be part of the Direct Equity group in the Legal Team.
Advising CDC on all stages of its investments, including the structuring, execution, portfolio management and divestment processes, ensuring that CDC's investment is protected and its requirements are met
Supporting and managing the legal aspects of equity investment transactions in conjunction with the investment teams, ensuring that transactions are pursued in a timely manner and legal risks are identified and managed
Instructing and managing external counsel
Project-managing broader elements of transactions (such as taxation, E&S and BI matters) to ensure that all relevant input is obtained and CDC's core requirements (including those in CDC's Code of Responsible Investing) are met
Interpreting due diligence reports and other advice from external counsel on material legal risks and applying them to the commercial context to solve problems
Explaining legal issues and risks concisely to investment professionals and making timely, well-reasoned, independent and transparent recommendations
Reviewing investment documentation for a broad range of investment structures and facilities, such as subscription and shareholder agreements, joint venture agreements and convertible loan facilities
Advising on investments in jeopardy and supervising litigation.
Dealing with miscellaneous matters, including non-disclosure agreements and engagement letters, and supervising more junior staff on these matters
Contributing to papers and minutes for investment committee on legal aspects of transactions and briefing CDC's senior management and investment teams on legal issues (verbally and in writing) as and when required
Building and sharing know-how and best practice amongst both the Legal Team and other CDC colleagues, including giving training and developing precedents as required
Supporting CDC's E&S and BI compliance processes (NB anti-money laundering and other compliance matters are principally the responsibility of the BI Team) and provide legal advice as required on BI and governance requirements.

A qualified lawyer with at least four years' post-qualification experience at a major law firm or investment fund working on:
private equity and growth capital investment (essential)
cross-border investment (strongly preferable)
transactions in developing markets (preferable)
