About The Role The Assistant Company Secretary reports into the Head of Secretariat, and supports them and the Company Secretaries who provide company secretariat and corporate governance services to the boards and board committees in the insurance, pensions & investments, and financial advice business lines of ANZ Wealth Australia in Sydney.
The role includes:
Assist the Head of Secretariat, or other Company Secretaries in the team, with the timetabling, preparation, organisation and conduct of Board and Committee Meetings – including drafting agendas, shell minutes, governance related papers, and distributing/monitoring matters arising items from meetings
Assist the Head of Secretariat with the management of the Director Training program
Handling the use of an electronic board portal for publication of Board and Committee papers, electronic entity management systems, and general correspondence and telephone calls
Conduct the administration involved in implementing corporate actions, such as capital reductions, or company de-registrations.
Support the Company Secretaries with the administration of company records, general management of company information (including quarterly update of the internal information) and general records management
Take responsibility for company secretariat formalities relating to the approval of solvency and account and lodgements with regulators, change of Directors (including standard ASIC and APRA regulatory notification), and the annual APRA Fit & Proper certification process for Directors and other Responsible Persons/Managers
Assist the Company Secretaries in conducting annual reviews of charters, policies and other governance documents, and prepare drafts of board papers on these topics
If required, assist a Company Secretary in Board and Committee meetings
Organise requests for execution of documents on behalf of the Wealth boards
About You You will have relevant tertiary qualifications in Business, Law or Finance, and demonstrated governance experience in a similar position with a particular understanding of Board responsibilities, corporate governance, implementing and embedding governance principles and frameworks. Membership of the Governance Institute is advantageous. Additionally, you will have an understanding of the responsibilities and approach of key regulators (APRA, ASIC). A candidate with financial services experience will be favourably regarded, however, it is definitely not mandatory (ie we will prioritise the right fit and capabilities). We would like someone who has high energy, an outgoing & engaging personality, and a willingness to learn new things!
You will also need to possess strong communication skills, highly developed planning and organisational skills, proven ability to build strong relationships with stakeholders and be able to handle a high workload and competing deadlines. You must be a customer focused professional, who prides yourself on your effectiveness and commitment in your field.
