Department Profile The lawyers and other professionals of the Legal & Compliance Division (LCD) provide a wide range of services to our business units. They might help to structure a complex and sensitive cross-border transaction; advise on a new product introduction; develop a training program or defuse an investor dispute. They preserve the Firm's invaluable reputation for integrity and protect the Firm with policies and procedures that meet regulatory requirements around the world. They also strive to maintain cooperative relationships with governmental policy makers and the regulatory and self-regulatory agencies that govern the Firm's businesses.
Primary Responsibilities This role would be part of a team of 5 lawyers (including new headcount), covering market-leading [prime brokerage and client clearing] business units, and a very broad and critical part of the Firm's sales and trading function.
This role includes day-to-day legal coverage for these businesses, including product development (with associated documentation development), specific transactions/client negotiations (including liaising with documentation teams), liaising with Compliance function on policy development and ad hoc regulatory issues. This individual would work closely with other team members in London, Europe, NY and Asia (as required), and also with the business unit (including the risk management function), Compliance department, and other business unit support functions (including operations, financing control group/accounting policy, tax, treasury, credit risk), and can expect to represent the firm in various industry associations/forums. The role represents an excellent opportunity for a candidate with a strong banking/commercial/regulatory legal background.
A significant part of this role would include implementation and ongoing review of the regulatory reform agenda impacting these business units, including: EMIR (trade reporting, segregation, risk mitigation/margining, mandatory clearing); AIFMD (relationships with depositaries, client requirements, compliance with broader AIFMD requirements); MiFID; Client Asset Rules (revised CASS rulebook); Shadow Banking (including EU Securities Financing Transaction Regulation, and EU Securities Law Legislation); EU CRDIV/CRR (impact on client clearing businesses and CCP relationships).
Skills/Experience Required - Previous banking / commercial / regulatory legal background required. - Solid grounding in securities and contract law and general up-to-date knowledge of EU legislation impacting sales and trading, including EMIR, AIFMD, CASS, MIFID. - Previous sales and trading experience would be desirable. - Outstanding negotiation skills. - Professional, confident, presence and initiative. - Excellent judgement and analytical skills. - Excellent oral and written communication skills. - Strong interpersonal skills. - Strong management, organisational and administrative skills. - Be a good team player.
