Reporting directly to the Company Secretary – this is an exciting role for a strong Corporate Secretariat professional to join a small team as it plans, develops and grows out its Dublin office. With strong growth projected and exposure to senior management and executive board, this is an exciting opportunity to join and be a key influencer at an early stage
Coordinate and schedule all board and board committee meetings, working with the Company Secretary to draft forward calendars, meeting agendas and be responsible for the preparation and distribution of the board and committee packs.
Preparation of detailed minutes and actions items for board and board committees and ensuring all actions are communicated and tracked to conclusion.
Support the Company Secretary in providing comprehensive corporate secretarial support and guidance to the board and its committees, including compliance with relevant group policies and Irish legal and regulatory requirements including but not limited to the Central Bank of Ireland Corporate Governance Code and the banks Legal Entity Policy.
Support the Company Secretary as the primary point of contact for non-routine enquiries from businesses including European branches.
Maintenance of the Bank's PLC corporate records and communicating any changes to Group Corporate Secretariat and European branch contacts
Support the Company Secretary with the management and implementation of best practice standards and control frameworks.
Support the Company Secretary including liaison with key contacts, assisting with board and board committee evaluations
Good academic background with a 2:1 or equivalent from university
Ability to build good relationships with key stakeholders at all levels, demonstrating confidence in dealing with senior executives and board members
Ability to quickly understand the scope of a project/work stream and support its objectives – to 'hit the ground running'.
Company secretarial experience gained within an Irish PLC of substantial size and complexity
Proven ability to be a self-starter and working across business to deliver projects
Experience of managing and setting deadlines for projects/actions that are generated externally that requires company secretariat input
Experience of working in the financial services sector
Self-motivated. Able to work on own initiative and as part of a team
Resilient and strong character; able to influence and work with a high-powered board
