Directs the governance operations and activity including fostering effective communication and coordination between volunteer and staff structures and functions.
Update and maintain Bylaws, Governing Policies, Rules & Procedures, Governance Guidebook and the Officer and Committee Chair Handbooks.
Oversee the committee management process including coordinating the preparation and distribution of agendas, meeting materials, reports and final meeting minutes.
Be the point of contact for staff liaisons and coordinate staff training on governance and committee management.
Directs the election process including create ballots, training, and organizing voting devices.
Manages the governance budget.
Directs the Board of Directors new member orientation.
Ensure the board has the proper advice and resources for discharging its fiduciary duty which are reflected in its minutes.
Recognize volunteer support by through correspondences and anniversary recognition materials (certificates, congratulatory notes, letters, reports).
Act as liaison to a parliamentarian to assure that Roberts Rules of Order are communicated and followed at board meetings; develop and recommend policies and procedures for conducting meetings.
Serve as staff liaison assigned to the Executive and Governance Committees.
Bachelor’s degree in a social science, English or related field preferred.
5+ years’ experience, preferably in an association or non-profit setting, with direct experience working with executive staff and elected leadership. Governance and administration experience within membership associations strongly preferred.
Understand association structures and processes.
Experience working independently, managing priorities and multiple deadlines, and with all levels of staff and volunteers.
Must maintain the highest standards of professionalism, integrity and confidentiality.
Ability to connect short-term objectives to long-term strategies.
Problem-solving and collaborative attitude.
Excellent organizational, analytical, financial, and administrative skills and the ability to take a pro-active, self-directed approach to projects.
