Department Profile Morgan Stanley's Banking Group provides industry, regional and product expertise to corporations, institutions and government clients in order to develop and execute innovative and customized solutions to the most challenging strategic and financing issues faced in the global marketplace. The Banking Group is comprised of a number of industry groups which work closely with product team members in Mergers & Acquisitions, Global Capital Markets, Real Estate, and other industry groups throughout the Firm to provide relevant market insight, product creativity, and execution expertise to clients. These solutions include initial public offerings; public and private equity and equity-linked financings; mergers, acquisitions and restructurings; defense advisory assignments; strategic partnerships; public and private debt placements; share repurchases; and hedging, swaps and derivative transactions.
Background on the Position We are seeking a junior professional with a focus on (i) helping oversee the conflicts disclosure regime for the Mergers & Acquisitions business of the Investment Banking Division for North America and (ii) assisting the M&A Legal coverage team and M&A Management in the Investment Banking Division on projects relating to both legal and business issues arising out of the Mergers & Acquisitions business. The position is within the M&A group in IBD but will work closely with the M&A Legal Coverage team in the Legal and Compliance Division.
Primary Responsibilities -Advice to the M&A group and the industry coverage groups in IBD regarding the preparation and disclosure of relationship disclosure memoranda provided to IBD M&A clients in connection with U.S. public M&A transactions; -Review of relationship disclosure prepared in connection with M&A transactions; -Assist with maintaining and updating the policies and standard templates relating to the conflicts disclosure regime for M&A transactions; -Assist the M&A Assignments Associate, M&A Legal Coverage and the Global Conflicts Office with analyzing conflicts and review of any issues relating to the relationship disclosure regime; -Review of M&A engagement letters; -Assist in maintaining and updating forms of M&A engagement letters; -Reviewing recent developments in case law and M&A industry trends.
Skills required -We would expect the professional to have 2-5 years' experience; attorneys with law firm experience is preferred but not required. -Familiarity with financial institutions and M&A transactions, U.S. securities laws, Delaware case law and other best practice developments in M&A is helpful but not required. -This professional will also be required to liase frequently with M&A and IBD bankers; therefore, good communication, and interpersonal skills are required. -Strong written and oral communication skills with ability to effectively communicate with bankers and other business professionals. -Well organized and able to manage multiple projects and assignments. - Start date in 2019
