Valuation - conduct income statement, balance sheet and cash flow analyses; conduct DCF, LBO, comparable trading and comparable transactions valuation analyses; conduct sum-of-the-parts valuations and break-up analyses
Corporate strategy - evaluate business fundamentals, end markets, operations capabilities, financial structure and customer quality; conduct extensive operational and financial benchmarking
Governance - evaluate management and board expertise and diligence, charter and bylaws for good governance and defensive provisions, shareholder engagement track record and ESG performance
Origination – Design, apply and modify investment criteria based on valuation, strategy, governance and other factors to identify businesses that have substantial room for improvement
Monitor and evaluate current events in shareholder activism community including global activist campaigns, hedge fund trends and developments in corporate governance
Prepare analysis for, draft and comment on presentations including investment rationales, private communications with management, white papers and press releases.
Conduct research and assist in drafting and editing "thought pieces" on activism and ESG issues
Coordinate with client investment teams on analyses and work product; manage detailed transaction timetables and ensure smooth execution of campaigns coordinating multiple constituencies

This position has no supervisory responsibilities.
Knowledge and Skills:
Superior knowledge of financial modeling/valuation and analytical skills including DCF, LBO, trading comparable, precedent transactions, accretion/dilutions, value creation analysis, three-statement models, and combined pro forma models
Knowledge of corporate finance and accounting as well as basic understanding of legal and tax aspects of corporations and corporate finance transactions
Ability to conduct thorough independent research
Highly organized, detail oriented and proactive
Strong ethics, integrity and judgement
Excellent technology skills with demonstrated proficiency in Excel and PowerPoint
Familiarity with financial databases such as FactSet, CapitalIQ and Bloomberg
Ability to interact with clients in a professional and mature manner
Strong organizational, multi-tasking and time management skills
Education and Work Experience:
Bachelor's degree in Business Finance, Accounting or related field required
Advanced degree in similar fields is preferred
1-2 years as an Investment Banking Analyst or in an accounting role related to M&A and corporate finance required
Solid background in analyzing company financials
Work Environment and Physical Demands:
Occasional lifting of up to 25 pounds may be needed to carry work materials. Reasoning and analytical skills are necessary to perform essential duties. Manual dexterity is required for computer use. Daily use of general office equipment. This position requires occasional travel using commercial carriers and/or lodging accommodation providers.
