Morgan Stanley & Co. LLC seeks a Vice President, Mergers & Acquisitions in New York, New York
Execute corporate finance transactions in Morgan Stanley's Mergers and Acquisitions department. Perform financial analysis, financial modeling, strategic business analysis, and detailed industry research. Provide rapid and accurate market judgments to colleagues and clients. Work on the execution of corporate finance transactions from company valuation and conducting due diligence to deal structuring and negotiations. Serve as central point for coordination internally and externally with clients, co-advisors, lawyers, accountants as well as potential transaction counterparties. Contribute to team discussions and client meetings. Prepare and deliver client presentations in a clear and compelling manner. Develop relationships with clients. Articulate complex ideas and summarize effectively.
Requires a Bachelor's degree in International Business, Business Administration, Finance, Economics, or closely related field of study and five (5) years of experience or five (5) years of experience as an Analyst, Associate, Vice President, or related occupation in investment banking. Will accept a Master's degree and three (3) years of experience in lieu of a Bachelor's degree and five (5) years of experience. Will accept any amount of experience with: providing financial and strategic advice to both public and private US and multinational corporate clients on the structuring and execution of complex cross-border takeovers, mergers, acquisitions, and disposal transactions both domestically and internationally; executing strategic transactions for corporations, governments, and financial institutions worldwide including acquisitions, divestitures, reverse merger transactions, leveraged buyouts, shareholder relations and corporate defense assignments, debt and equity offerings and restructurings; applying principles of corporate finance to conduct detailed and comprehensive financial valuation analysis, and mergers and acquisitions pro forma analysis; documenting valuation analysis to support internal approval processes and extensive public disclosure in public company fairness opinions; reviewing and commenting on transaction documentation; developing marketing materials including offering memoranda and management presentations; organizing and participating in management presentations and coordinating due diligence activities; supervising multiple teams of Associates and Analysts across internal industry coverage groups and geographies; coordinating with capital markets and industry coverage groups and with clients and co-advisors; global and regional M&A trends and presenting and articulating these trends to clients; and utilizing market data tools including Bloomberg, Thomson One, and Capital IQ.
