Work Schedule: 40 hours per week (9:00 a.m. to 6:00 p.m.)
RESPONSIBILITIES AND QUALIFICATIONS Duties: Associate with Goldman Sachs & Co. LLC in New York, NY. Analyze, structure and execute transactions on behalf of corporate clients, with a focus on Financial Institutions. Prepare and review financial models, such as M&A, DCF and LBO valuations, and conduct analysis of comparable companies and precedent transactions. Analyze accounting and regulatory statements, debt and equity filings and documents, financial projections and models prepared by clients in various formats. Manage, guide and coordinate project workstreams and junior professionals' work product, including reviewing financial modeling work and presentations prepared for transactions, corporate board meetings, investment banking pitches and client service projects on corporate finance topics. Prepare, and review memoranda required to gain internal approvals from typical investment banking committees. Present to clients, including at the CEO / CFO level, on topics such as strategic alternatives, industry update, capital markets activities, restructuring alternatives and corporate governance issues at board meetings, pitches and on conference calls. Interact with senior and junior management team members on a regular basis to execute projects, provide updates and advice, and prepare presentation materials. Manage deal execution, including preparing marketing materials, running due diligence processes, negotiating non-disclosure agreements and other legal documents with lawyers and potential buyers, organizing and attending deal and non-deal roadshow meetings, and liaising with other investment banks and other parties within the Investment Banking division. Review complex legal documents including offering documents and stock purchase agreements. Mentor and guide 1-2 Analysts/Junior Analysts per project, across several projects at one time.
Job Requirements: Bachelor's degree (U.S. or foreign equivalent) in Finance, Economics, Mathematics, Business Administration or a related field. Two (2) years of experience in the job offered or related investment banking role. Must have two (2) years of experience with: Executing debt or equity financing transactions, and public and private mergers and acquisitions transactions; Developing presentations and financial models using Microsoft Office, Excel and PowerPoint; Building and reviewing financial models including operating models, merger analysis, DCF and LBO valuations and models; Working with investment banking professionals to provide financial advice to companies, specifically in the Financial Institutions space, on M&A transactions, capital raising, and other complex financial transactions; Presenting to senior client executives including the CEO and CFO on M&A, corporate strategy and financing alternatives; and Guiding junior team members, while coordinating closely with internal and external senior team and executives, in advising Financial Services companies on buy-side and sell-side M&A, IPO, LBO, and debt financing. FINRA Series 79 license required. Travel required for client meetings approx. 15% of time.
