Principally responsible for compliance with securities laws, including the '33 and '34 Act, assuring timely and accurate filings with the SEC, and negotiating complex financing (including bank financing, public and private placement bond financing and equity financing) and derivatives agreements. Acts as Corporate Secretary for subsidiaries.
Supervision of other lawyers, including establishing policies for performance of legal work, developing in-house talent, and reviewing legal work.
Drafting and negotiation of agreements. Expected to take lead attorney role in sophisticated banking, financing, and security derivative agreements, and in complex transactions, with little assistance from outside counsel.
Principal responsibility for Corporate Secretary role for all company subsidiaries, including Directors’ meetings, qualifications of corporations, incorporations, dissolutions, and maintenance of database.
Provide general legal advice and counsel. Available to senior management of the company to give legal advice on a wide variety of legal issues affecting the company. Monitor and consult with outside counsel regarding litigation where company has a material interest

Providing strategic legal advice and counsel
Advising the Board of Directors, Chairman, President and CEO, Executive Leadership Team, and others on a broad range of corporate, transactional, intellectual property, tax, regulatory, and compliance matters
Providing advice and counsel to the Board of Directors on corporate governance matters
Providing sound legal advice on issues affecting existing and future business where risks and mitigation strategies are clearly identified
Ensuring compliance with corporate and regulatory requirements
Juris Doctorate or equivalent law degree from accredited law school and license to practice, in Tennessee preferred, Multiple Bar admissions will be a plus
Corporate and Securities Law expertise
Minimum of 10+ years’ experience practicing law
Corporate Secretary experience a plus
