To work as part of the legal team to support and manage transactions and legal risks for Corporate Transaction Group Functions with a particular focus on Hong Kong. This essentially covers a range of corporate finance activities in the Hong Kong, and some cross border transactions. Support on corporate finance activities not expected but the candidate's help may be enlisted from time to time where needed.
Corporate product coverage includes initial public offerings, block trades, new issues, secondary placements, rights issues and other forms of equity fund raising.
Working closely with the existing legal team, the candidate's daily work will involve reviewing and negotiating a range of legal documentation, managing transaction flow from a legal perspective including coordinating with various stakeholders within the Bank and external lawyers, delivering advice on a range of rules and regulations governing CF activities in HK including new Companies Ordinance, Securities and Future Ordinance, SFC Code of Conduct, Hong Kong Listing Rules and HK Takeovers Code and attending a range of internal committees and control meetings.
A junior-mid level lawyer who has gained solid experience in corporate finance matters and transactions preferably from a reputable multinational practice
Ability to speak and write Chinese; good Mandarin skills
Lawyer qualified to practice in Hong Kong with good academic qualifications with around 2-5 years PQE or equivalent experience
Exposure to and experience in equity capital market works including ability to give sound advice on Securities and Futures Ordinance, Companies Ordinance (New), Listing Rules, SFC Code of Conduct and the HK Takeover Code
Exposure and prior experience on PRC clients desired but not essential
